Terms of Service - Torchpass

1. Acceptance

By accessing or using Torchpass ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Torchpass is a B2B SaaS platform for capturing, documenting, and transferring institutional knowledge from departing employees to their successors through structured interviews, document ingestion, and AI-assisted playbook generation.

3. Accounts & Access

Company accounts are created by authorised company leaders ("HR users").
Individual users (Subject Matter Experts, Guides, Viewers) are invited by the company leader and must accept their invitation.
You are responsible for maintaining the confidentiality of your login credentials.
You must notify us immediately of any unauthorised use of your account.

4. Your Content

You retain ownership of all content you upload, record, or create on Torchpass ("Your Content").
You grant Torchpass a limited licence to process Your Content solely to provide the Service, including AI-assisted analysis with PII redaction applied.
If you consent to anonymised analytics, aggregated and de-identified data derived from Your Content may be used to improve the platform. Your organisation's leader can opt out at any time.

5. Acceptable Use

You agree not to:

Upload content that infringes third-party intellectual property rights
Use the Service for any unlawful purpose or to transmit harmful code
Attempt to gain unauthorised access to other accounts or systems
Reverse-engineer, decompile, or disassemble any part of the Service
Use automated tools to scrape or bulk-download data from the Service

6. Subscriptions & Payment

Subscription plans and pricing are as described on our website or in your order form.
Payments are processed by Stripe. Torchpass does not store payment card details.
Subscriptions renew automatically unless cancelled before the renewal date.
Refunds are handled on a case-by-case basis; contact legal@torchpass.com.

7. Data Protection

Our processing of personal data is governed by our Privacy Policy. For enterprise customers, a Data Processing Agreement (DPA) is available upon request.

8. AI-Generated Content

AI-generated playbooks and suggestions are assistive tools and should be reviewed by qualified humans before use.
Torchpass does not guarantee the accuracy, completeness, or suitability of AI-generated content.
Your organisation is responsible for verifying AI-generated playbook content before publishing or distributing it.

9. Availability & Support

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. Support is available via email at legal@torchpass.com.

10. Limitation of Liability

To the maximum extent permitted by law, Torchpass's total liability under these Terms shall not exceed the fees paid by your organisation in the twelve (12) months preceding the claim. Torchpass is not liable for indirect, incidental, consequential, or punitive damages.

11. Termination

Either party may terminate the subscription with 30 days' written notice.
We may suspend or terminate access immediately for material breach of these Terms.
Upon termination, you may request a data export (see Privacy Policy). Data is deleted according to our retention policy after a 30-day grace period.

12. Changes to Terms

We may modify these Terms with 30 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
